{"id":2810,"date":"2021-09-23T11:12:22","date_gmt":"2021-09-23T14:12:22","guid":{"rendered":"https:\/\/www.santosesantana.com.br\/?p=2810"},"modified":"2021-09-23T11:21:44","modified_gmt":"2021-09-23T14:21:44","slug":"nova-lei-do-ambiente-dos-negocios","status":"publish","type":"post","link":"https:\/\/www.santosesantana.com.br\/en\/nova-lei-do-ambiente-dos-negocios\/","title":{"rendered":"New Business Environment Law"},"content":{"rendered":"<p>On August 26, 2021, the Federal Government sanctioned Law No. 14,195\/21 (\u201cNew Business Environment Law\u201d), whose main purpose is to amend and revoke some acts to reduce bureaucracy and to bring innovations to the business process in Brazil, aiming to make the country advance at least 20 positions in the World Bank\u2019s Doing Business ranking.&nbsp;<\/p>\n\n\n\n<p>The main measures of the New Business Environment Law include:&nbsp;<\/p>\n\n\n\n<ul><li><strong>Facilitate the opening and operation of companies:<\/strong> the competent bodies and authorities must implement the changes within 60 days as of the New Business Environment Law\u2019s publication. Among them,&nbsp;<strong>(A)<\/strong>&nbsp;the automatic granting, without human analysis, of business operating licences and other documents to companies classified in low\/medium-risk activities;&nbsp;<strong>(B)&nbsp;<\/strong>the unification of fiscal registries at federal, state and municipal levels in the National Register of Legal Entities (TaxPayer\u2019s ID);&nbsp;<strong>(C)<\/strong>&nbsp;the electronic summoning of legal entities;&nbsp;<strong>(D)<\/strong>&nbsp;the ending of requirement of residency for foreign administrators, upon granting an attorney-in-fact resident in Brazil with powers to, at least three years after the end of the administrator\u2019s management;&nbsp;<strong>(E)<\/strong>&nbsp;the adoption of digital books;&nbsp;<strong>(F)&nbsp;<\/strong>greater freedom for operating hours;&nbsp;<strong>(G)<\/strong>&nbsp;the removal of the requirement of physical establishment to run the business activities, which can be a virtual address.&nbsp;<\/li><li><strong>Creation of Plural Vote (super voting shares):<\/strong> mechanism originating from the legislation of the United States of America, it is now allowed in publicly-held or privetely-held companies.
